Primary Purpose A senior lawyer who is a highly qualified attorney handling complex legal matters and projects on behalf of the Company relating to employee benefit and executive compensation matters. Note: This is a hybrid position (in-office with remote flexibility). Employees are required to be in office at least three days per week (Tuesday, Wednesday, and Thursday). This position must sit out of our Philadelphia - PA, Baltimore - MD, Chicago - IL or Washington -DC office. Primary Duties - Performs as a specialist in employee benefits and executive compensation law and provides technical and expert legal services to Exelon business units. - Under minimal supervision, plans, conducts and supervises large and highly complex legal assignments; evaluates both legal and business risks and advises clients, accordingly; represents Exelon as the subject matter expert in M&A transactions, contract negotiations, audits, litigation and other relevant matters. - Provide legal advice for Exelon's employee benefit plans and compensation programs, including defined benefit pension, defined contribution retirement, non-qualified (SERP and deferred compensation), health and welfare, long and short-term incentive, and severance. - Draft and review plan and program documents, summary plan descriptions, and employee communications. - Counsel ERISA plan fiduciaries, including conducting fiduciary training. - Advise on ERISA claims and appeals. - Subject matter expertise in ERISA, HIPAA, COBRA, ACA, Mental Health Parity, 409A, and related laws. - Prepares, and revises as necessary, budgets and early matter assessments for all matters involving outside counsel. - Provides lead direction and/or project leadership direction to less experienced attorneys and support staff. - Projects / duties as assigned.
