Trustee Application Deadline: 26 April 2026 Department: Operations Employment Type: Volunteer Location: Remote Description Climate Bonds is a fast growing, dynamic NGO driven by a big mission, to lead the development of innovative international climate finance solutions. As a respected sector expert, we are regularly called upon by governments, other not-for-profit organisations, businesses, and financial service institutes to provide thought leadership, insight and advise on green bond standards, certification, taxonomy, and policy. We work extensively with our funders and partners to deliver programmes that examine a variety of sectors such as agri-foods, buildings, and carbon zero. This is an exciting time for the organisation as we embark on our new strategy and develop the organisation into the next phase of its journey. We are currently looking for new Trustees, with the view to becoming Chair, to join the Climate Bonds Initiative Board to expand the breath of its skills and diversity. Between them, out trustees cover a range of expertise including technical, financial, operational leadership, legal, climate resilience and sustainability. To complement the existing board, we are particularly keen to connect with someone from an investor, asset management or pension fund background. Either someone with Climate of Finance sector experience. How you'll contribute Acting as a member of the Board of Trustees in guiding the organisation towards increasing its impact whilst ensuring its continual financial stability and security. The board is collectively responsible for the overall governance and strategic direction of the organisation, including its financial health, the integrity of its activities and the development of its strategic direction in line with our mission. - Trustees must ensure that the Climate Bonds complies with all legal and regulatory requirements. - Ensure the organisation has a governance structure that is appropriate to its size/complexity and stage of development, and its objects, and reflects the diversity of its stakeholders. - Use reasonable care and skill in their work as Trustee, using their personal skills, knowledge and experience as needed to ensure that the organisation is well run and efficient. - Leverage existing relationships and as a conduit for potential sponsorship and funding opportunities. - To develop strategy and overall policy and evaluate performance against these. - Ensure risk assessments for all aspects of the organisation’s activities are carried out and monitored. Accountable to Legally accountable to Funders/Foundations/Philanthropic Institutes, Charity Commission and Companies House Generally accountable to Funders/Foundations/Philanthropic Institutes and climate NGO peers. Time Commitment Preparation for and attendance at board meetings and if required committee meetings and ad hoc meetings. Expected time commitment a day per month and between 2-4 days monthly if holding the Chair position. Please note meeting typically happen on a quarterly basis with additional ad hoc meetings as required. Please note as a global and fully remote organisation our Trustees are all based remotely and the board meets online. • Provide high quality, pragmatic legal advice across Climate Bonds, supporting all operational activities • Minimising risk and contributing to the protection of Climate Bonds’ assets, including its intellectual property and reputational interests • Responsible for a wide range of grants, sub-grants, contracts for services, sponsorship agreements and other agreements relating to relationships with international, domestic and EU partners and sponsors. Drafting and maintaining template agreements for a more efficient contracting process. • Lead on all commercial law and contract matters, providing additional advisory support to the wider functions of Climate Bonds worldwide • Work with the COO in ensuring the effective governance of Climate Bonds and its functions, providing expert legal advice on regulatory compliance • Oversee and manage the renewals of professional indemnity, directors and officers and combined liability insurance for Climate Bonds and its subsidiaries. • Handling a range of complex legal issues, including but not limited to; commercial, consumer, contract, employment, licensing, data protection, intellectual property, charity, public and information law • Attend external meetings and provide guidance and support as required • Provide legal advice and support to teams across Climate Bonds when submitting bids, responding to invitations to tender and requests for quotations • Drafting, negotiating, and reviewing contracts for the provision of services,, sponsorship, certification, technical assistance, training and research to third parties (including international), ensuring that Climate Bonds’ interests are iprotected commercially and risk is minimised • Outsource and manage external legal expertise when necessary • Oversee and perform all relevant duties relating to regulatory compliance for Climate Bonds and its subsidiaries in Belgium and China including all necessary registrations with Companies House, the Charity Commission and the equivalent Belgian and Chinese authorities. • Act as a communication and liaison point between the Board of Trustees and the Organisation.
