• Maintain corporate records, minute books, board and stockholder materials, written consents, resolutions, and other governance documents. • Support preparation, organization, and execution of board materials, committee materials, stockholder consents, and corporate approvals. • Assist with company entity management, including annual filings, registered agent coordination, officer/director updates, certificates of good standing, and related corporate documentation. • Support corporate transactions, financings, audits, due diligence requests, and other strategic projects. • Manage contract intake, routing, approval, signature, filing, and tracking processes. • Maintain organized legal repositories for customer agreements, vendor agreements, partner agreements, NDAs, order forms, amendments, and other legal documents. • Track key contract terms, renewal dates, obligations, approval status, and executed documents. • Assist with NDAs, vendor agreements, customer agreements, reseller and partner agreements, order forms, amendments, and standard legal documentation. • Support equity administration processes, including stock option documentation, grant approvals, board consents, equity records, and coordination with equity management platforms. • Assist with 409A valuation documentation, financing records, cap table support, and related legal records. • Coordinate legal input for customer questionnaires, vendor onboarding, compliance documentation, insurance certificates, business licenses, and regulatory forms. • Support legal billing, outside counsel coordination, budget tracking, and matter management. • Partner cross-functionally with Sales, Finance, HR, Security to improve legal response times, process consistency, and business alignment. • Handle confidential and sensitive information with discretion and professionalism.
Job Requirements
- 5+ years of paralegal, corporate legal, or legal operations experience, preferably in a technology, SaaS, cybersecurity, or high-growth company environment.
- Strong experience with corporate governance, legal records, contract administration, and legal document management.
- Experience supporting board materials, written consents, stockholder approvals, corporate filings, equity documentation, or financing transactions.
- Experience managing contract workflows, signature processes, legal repositories, and contract tracking.
- Familiarity with legal operations tools and business systems such as DocuSign and Carta, or similar platforms.
- Strong attention to detail and excellent organizational skills.
- Strong written, verbal, and interpersonal communication skills.
- Self-motivated with a strong sense of ownership and the ability to work independently.
- Practical, business-oriented mindset with the ability to balance legal discipline and operational efficiency.
- High integrity and discretion when handling confidential company information.
- Great team player with a can-do attitude.
- Paralegal certificate or equivalent practical experience preferred.
