Role Description All Limited Administrative Coordinators working with Side agents are expected to deliver exceptional service, which includes monitoring communications and responding promptly during standard business hours. Side's platform enables Administrative Coordinators and our service team to offer expanded services beyond what is traditionally available to agents, ensuring a superior and seamless experience. Qualifications - 3+ years as a Transaction Coordinator or Administrator - Hands-on Transaction Coordinator experience in NY required - 2+ years in a remote setting - Ability to multi-task - 2+ years in Real Estate industry - Real Estate License required - Experience in creating Board Packages and managing the process from beginning to end - Strong knowledge and experience with Co-Op transactions Requirements - Partner or Associate to notify Admin TC of seller’s details in writing on the appointed form to create the exclusive listing agreement and all associated disclosures (forms from document library). - Admin TC to confirm owner(s) of public record, download and upload proof to the Side app. - Admin TC to create and circulate final documents for execution via DocUSign. - Admin TC to upload final executed agreements and disclosures into Side App/Compliance Review. - If we represent the seller, Admin TC to coordinate obtaining Offering Plan & Financials from the seller or purchase from the management company. - Admin TC to enter listing information, including all digital assets, into the RLS and/or MLS. - Admin TC to create a transaction memorandum (deal sheet) to send to the other agent and both attorneys. - Admin TC to follow up with the attorney to ensure attorney has all documents necessary to produce a fully executed contract (includes due diligence materials). - Admin TC to provide redlining assistance, upon request. - Admin TC to create (or complete listing agent’s version) a transaction memorandum (deal sheet) to send to the other agent and both attorneys. - Admin TC to collect and upload all required documents into Side App/Compliance Review Tool as they receive fully executed items. - Admin TC to contact the buyer's lender (or agent if we rep the seller) to schedule appraisal/obtain appraisal date/time. - Admin TC to continuously connect and follow up with lender/attorney/agent to make sure all parties are on the same page and tasks are completed on time. - Admin TC to obtain final financing approval documents for closing and send to attorney (if we represent the buyer). - Admin TC to order home warranty, if applicable. - Once clear to close has been received from attorney, the Admin TC to coordinate the following: - Confirm closing date with attorney - Schedule final walk-through - Arrange keys for closing - Request broker demand to be sent to attorney once closing is scheduled - Admin TC to work with agent and purchaser to collect materials to build the board package. - Admin TC to enter information into BoardPackager or onto Board-required documents otherwise for agent’s review. - Admin TC to coordinate delivery of board package to the board. - Admin TC to coordinate buyer’s board interview once scheduled. - After board approval, Admin TC to contact managing agent to get approval or denial letter. Role Description The Corporate Governance Administrator is responsible for the formation, maintenance, remediation, and ongoing compliance of the Company’s corporate entities, including domestic and foreign subsidiaries. Serve as the single point of accountability for entity records, registrations, and statutory filings across a complex, multi-entity corporate structure. This position requires demonstrated expertise, exceptional attention to detail, and the ability to independently identify, diagnose, and correct deficiencies in corporate records. The role operates with a high degree of autonomy and is not structured to provide foundational training, requiring you to bring prior, relevant experience and a proven record of accuracy, follow-through, and sound professional judgment. Essential Duties & Responsibilities - Manage the full lifecycle of corporate entities, including formations, foreign qualifications, amendments, mergers, withdrawals, and dissolutions. - Oversee and coordinate high-volume domestic and foreign registrations across numerous jurisdictions for both LLCs and corporations. - Ensure timely and accurate completion of annual, biennial, and event-driven filings. - Serve as custodian of all corporate entity records and governance documentation. - Maintain complete, accurate, and audit-ready entity books at all times. - Independently verify the accuracy and completeness of records rather than relying on assumptions or legacy practices. - Certify records and resolutions for auditors, banks, regulators, and third parties. - Perform periodic internal audits of entity governance and registration status. - Proactively identify risk areas, lapses, or inconsistencies. - Drive corrective actions to resolution and confirm completion. - Act as the primary internal point of contact for entity governance matters. - Coordinate with Finance, Compliance, HR, and Insurance to ensure alignment of entity information. - Work with external service providers and outside counsel to execute resolutions, filings and corrective actions, including: - Conduct a comprehensive internal audit of corporate records for 40+ entities, including domestic and foreign registrations. - Identify missing, incomplete, inconsistent, or outdated filings and governance documents. - Develop and execute a remediation plan to correct deficiencies, including coordination with internal stakeholders and external service providers. - Establish and maintain a sustainable, documented governance framework to prevent recurrence. - Act as primary communications administrator for departmental platforms, including internal department hub and other projects as assigned. - Maintain regular and punctual attendance. - Perform other duties as assigned. Qualifications - Bachelor's degree in business or similar. In lieu of degree, must have a minimum of three years of relevant experience described below. - Demonstrated prior experience in corporate governance, entity management, legal operations, auditing, or regulatory compliance. - Proven track record of managing complex, multi-entity structures with high filing volumes. - Demonstrated attention to detail, including a history of accurate, timely work and follow-through. - Ability to independently identify issues, propose solutions, and implement corrective actions. - Sound professional judgment, including knowing when and how to escalate issues. - Experience working in regulated or highly scrutinized environments or ability to quickly adapt to such environments. - Must obtain and maintain any necessary security access and/or background checks.
