Lead Corporate Counsel

• Lead and manage corporate transactions including M&A (from LOI through post-closing), corporate restructurings, and strategic growth initiatives. • Support post-deal integration activities, including governance updates, entity consolidation and clean-up projects, intercompany agreements, and reconciliation of outstanding obligations. • Own subsidiary governance and corporate hygiene efforts across the organization, including maintaining organizational documents, board consents, registrations, licensing support, and entity compliance. • Support fundraising and financing diligence processes, including managing data rooms, reviewing and maintaining capitalization tables, and coordinating entity formation activities. • Partner closely with Finance, Accounting, Compliance, Product, and Operations teams to align legal strategy with business priorities and operational execution. • Identify and proactively escalate legal and regulatory risks, particularly in healthcare and other regulated environments, while providing practical business-oriented solutions. • Manage outside counsel relationships for corporate, M&A, securities, and governance matters to ensure efficient and high-quality execution. • Serve as a key legal partner on strategic initiatives, balancing strong legal judgment with responsiveness, organization, and execution. • Operate independently across multiple concurrent projects with minimal oversight while maintaining strong communication and stakeholder alignment. • Other duties as assigned.
Job Requirements
- Juris Doctor (JD) from an ABA-accredited law school and active license to practice in at least one U.S. jurisdiction.
- 6-8+ years of experience in corporate law, M&A, and emerging companies/venture capital (ECVC), preferably from a top-tier law firm.
- Strong experience supporting high-growth technology, healthcare, or venture-backed companies through formation, financing, governance, and exit transactions.
- Deep understanding of corporate governance fundamentals, including cap tables, entity management, registrations, organizational structure, and board governance processes.
- Experience managing transactions end-to-end while balancing multiple priorities and stakeholders in fast-moving environments.
- Highly detail-oriented with strong follow-through and project management skills; able to independently drive workstreams and maintain momentum without extensive oversight.
- Strong communication and stakeholder management skills, including the ability to proactively provide updates, escalate issues, and collaborate cross-functionally.
- Demonstrated ability to take and apply feedback constructively while operating with a solutions-oriented mindset.
- Ability to identify and flag healthcare and regulatory considerations within broader corporate transactions and strategic initiatives.
- Comfortable operating as a hands-on legal generalist in a rapidly scaling organization with evolving priorities.
