Corporate Governance Paralegal

Role Description We’re looking for a Senior Paralegal- Corporate Governance to join our client's fast-paced Legal Dept. You will be responsible for proactively overseeing a variety of corporate governance activities and functions, including entity management, compliance and diligence support, and other special projects. - Set up, maintain, and manage the corporate obligations of all the clients' subsidiaries in the US, Caribbean, and Canada to ensure all subsidiaries are in good standing and comply with all necessary formalities. Key Responsibilities - Corporate Governance and Entity Management: - Maintain and organize corporate records, governance documents, and minute books for US, Canadian and Caribbean companies, including entity organisational charts and other ad-hoc documents. - Prepare board and shareholder minutes and consents to support commercial transactions, equity and/or dividend distributions; prepare delegations of authority, powers-of-attorney and corporate certificates. - Prepare and file necessary documents for the formation, maintenance, and dissolution of entities across multiple jurisdictions. - Ensure compliance with federal, state, and local regulations, including timely filing of annual reports, tradename registrations, and other required documentation. - Organize and maintain CSC Navigator and GEMS subsidiary databases, as needed, and respond to related requests for information and data. - Transactional Support: - Assist attorneys in drafting and reviewing legal documents related to mergers, acquisitions, and other corporate transactions. - Collaborate closely with the legal leadership and other key stakeholders to support special projects (e.g. M&A). - Compliance and Regulatory Filings: - Monitor changes in laws and regulations affecting the company's corporate governance practices and advise on or take necessary actions. - Assist in the preparation and filing of regulatory documents, and other compliance-related submissions, including KYC and UBO reports. - Cross-Functional Collaboration: - Liaise with internal departments (i.e. Finance, Tax, Operations), external counsel, and regulatory bodies to ensure seamless management of corporate legal matters. - Provide guidance and support to various business units on corporate legal issues and compliance matters. - Provide general and as-needed support to the legal operations function. Qualifications - Bachelor's degree from an accredited college or university. - ABA paralegal certification (or equivalent practical experience). CLA certification preferred. - Minimum of 10 years of experience as a corporate paralegal, preferably in a corporate legal department or large law firm, handling sophisticated corporate governance issues. - Extensive knowledge of corporate governance principles, laws, and regulations. - Strong understanding of corporate secretarial obligations and regulatory compliance. - Familiarity with federal, state and local forms and filing procedures in the US, Caribbean and Canada. Preferred Characteristics - Proficiency in managing entity management databases, such as CSC Navigator and GEMS. - Strong organizational, time and project management skills with excellent attention to detail. - Ability to work independently and handle multiple tasks simultaneously. - Excellent written and verbal communication skills, including a clear and concise drafting style. - Customer and internal-client focused self-starter with the ability to prioritize effectively and work well with colleagues across businesses and geographies in a fast-paced environment.
