Associate General Counsel, Litigation
InterDigital, Inc.
Role Description This position is based in Europe/UK at one of InterDigital’s international locations, but we may consider a remote location. The position will require domestic and international travel. The successful candidate will join a dynamic and respected legal department with over 100 members and will be involved in litigation related to InterDigital’s patent licensing programs and other legal proceedings involving the company and its subsidiaries. The successful candidate will be tasked with implementing InterDigital’s global intellectual property litigation strategy, including designing (in conjunction with in-house experts and outside counsel) that strategy. The successful candidate will have the opportunity and be expected to evaluate the internal and external litigation needs and resources of the company and to implement necessary changes and additions. While this is a global role, the successful candidate must have significant experience handling patent infringement cases in German Regional Courts and the UPC. This position will report directly to the VP, Head of Litigation and will have significant contact with other members of the company’s management team, including senior executives. Responsibilities - Worldwide Litigation Oversight and Strategy - Enforcement of Standard Essential Patents (SEPs), including providing advice regarding FRAND (Fair, Reasonable and Non-Discriminatory) litigation strategies, to drive the company’s licensing programs across various sectors, including cellular, video processing, video streaming, WiFi, and consumer electronics. - Defending the company against existing and new global intellectual property (IP), antitrust, commercial, or other litigation worldwide initiated by third parties. - Manage and direct external counsel providing support for litigation and other legal proceedings involving the company and its subsidiaries. - Working closely with the company’s Director of Legal Operations and Finance Department to help the VP, Head of Litigation manage significant budgets for internal and external spend involving the company and its subsidiaries. - Working closely with the company’s licensing professionals to support business and/or settlement negotiations with prospective licensees worldwide. Qualifications - 10-15 years of directly relevant IP litigation experience, including within a law firm. - Experience advising patent owners, preferably SEP holders, and with FRAND litigation, in the technology industry or other IP-intensive businesses. - Experience as lead or primary counsel in high-value patent enforcement litigation in German Regional Court proceedings, UPC proceedings, and/or UK High Court proceedings - ideally all three jurisdictions. Educational/Professional Requirements - Bachelor’s degree or equivalent plus law degree. - Law degree from top-tier law school preferred. - Currently qualified to practice law. - 10-15 years related experience at a law firm and/or in a corporate law department. - Experience serving as counsel in high-value patent enforcement litigation, including FRAND litigation. - Experience advising patent holders, with a preference for having advised SEP holders. Location One of InterDigital's European Office Locations. Would consider remote in certain locations.

Role Description Stratolaunch is seeking an experienced Corporate Counsel to support the company’s legal, contractual, and compliance needs across a fast-moving aerospace and defense environment. This role will report to the Head of Contracts and Legal and will provide practical, business-oriented legal support with a primary focus on government contracting, aerospace/defense transactions, corporate governance, and strategic growth initiatives, including preparation for potential future capital markets activity. The ideal candidate will have a strong foundation in federal government contracts, experience supporting complex aerospace or defense programs, and familiarity with the legal and governance workstreams associated with IPO readiness, financing transactions, and public-company style compliance disciplines. This individual must be comfortable operating in a dynamic environment, partnering directly with executive leadership, supply chain, finance, HR, engineering, and program teams to identify risk, enable business objectives, and maintain compliance. Role Description This is a foundational hire. As Fetch's first Senior Corporate Counsel, you will take direct ownership of the company's corporate legal function, managing work that has historically been handled by outside counsel. You will sit at the center of our most consequential transactions and governance activities, including IPO readiness, equity management, and capital raises. You will report directly to our General Counsel and work closely with our Finance, People, and Executive teams. If you have navigated the full lifecycle of a company preparing for and executing a public offering, and want to do that work again with greater ownership and impact, this role is built for you. This is a full-time role that can be held from one of our US offices or remotely in the United States. Responsibilities - Corporate Records and Governance - Maintain and administer all corporate records, including board minutes, written consents, resolutions, and organizational documents across all Fetch entities. - Work in concert with our equity compensation team on the capitalization table and all equity-related records with precision, ensuring accuracy at all times. - Draft, review, and execute board and stockholder consents for routine and non-routine corporate actions. - Oversee stock option plan administration, including grant approvals, exercises, early exercises, and forfeitures. - Equity and Secondary Transactions - Manage secondary market transactions, including tender offers, repricing, direct transfers, and structured liquidity programs. - Administer stock transfer processes, right of first refusal determinations, and transfer approval workflows. - Coordinate with the cap table management platform and transfer agent to ensure all transactions are properly recorded and compliant. - Capital Markets and Financing - Lead the corporate legal workstream for equity financing rounds, including Series rounds and any associated regulatory filings. - Support venture debt and credit facility transactions, including review of loan agreements, security documents, and covenant compliance. - Partner with outside counsel and the Finance team to manage the legal mechanics of complex financing structures. - IPO Readiness and Public Company Preparation - Own and drive the company's IPO readiness roadmap from a corporate governance and legal perspective. - Build and maintain the systems, records, and policies required for public company compliance before and after a public offering. - Coordinate S-1 and related registration statement preparation with outside counsel and internal stakeholders. - Advise on corporate governance best practices, board committee structures, and public company disclosure obligations. - Corporate Restructuring and Entity Management - Manage corporate restructuring initiatives, including subsidiary formations, mergers, dissolutions, and jurisdictional reorganizations. - Oversee foreign qualification filings and multi-entity compliance across all Fetch operating entities. Qualifications - J.D. from an accredited law school and active bar membership in good standing in at least one U.S. jurisdiction. - 12+ years of legal experience with meaningful time spent in-house at a high-growth technology or consumer company. - Direct, in-house experience supporting one to two IPOs, including hands-on ownership of corporate governance preparation, S-1 drafting support, and post-IPO compliance buildout.
