The Team: Upstart’s legal team is a key component of the company, helping Upstart innovate in the AI and fintech space across multiple products and supporting its mission of expanding access to credit based on true risk. We are a team of savvy, hardworking and genuinely nice individuals collaborating closely with the business in achieving its objectives. As the Senior Paralegal, Corporate at Upstart, you will serve as a key operator supporting Upstart’s public company reporting and corporate governance processes. You will partner closely with others on the Corporate Legal team and cross-functional stakeholders to manage board and committee workflows, subsidiary governance, SEC reporting logistics, Section 16 reporting, and other miscellaneous corporate matters. This role is critical to ensuring strong execution, precise documentation practices, and scalable infrastructure across the organization. How you’ll make an impact - Assist with the preparation and coordination of corporate and SEC filings, including Forms 10-K, 10-Q, 8-K, proxy statements, and Section 16 reports - Support corporate governance activities and maintenance of board and committee processes, including drafting minutes, resolutions, and agendas, maintaining records, and coordinating D&O questionnaires - Oversee subsidiary management, including entity records, officer and director tracking, organizational charts, annual filings, and related governance documentation - Support legal aspects of acquisitions, financings, and capital market transactions, including data room management and due diligence requests, assisting with closing documents, and organizing signature collection. - Work with other members of the Legal team as well as other company functional departments on special projects and initiatives - Manage U.S. state and local filings, business licenses, and various business entity documents with governmental agencies. - Design, develop, and implement or improve systems and processes to increase efficiency, support scalability, and ensure quality Minimum Qualifications - Bachelor’s degree and paralegal certification - 7+ years in a corporate paralegal role at a public company or major law firm - Experience of supporting SEC reporting, including Forms 10-K, 10-Q, proxy statements, and Section 16 filings - Proven support of Board of Directors and committee governance processes - Demonstrated responsibility for corporate records, minute books, and subsidiary management Preferred Qualifications - Background in a high-growth technology company - Proficiency with Workiva (Wdesk), Boardvantage, EDGAR, and Google Workspace - Administration of insider trading compliance programs and Rule 10b5-1 plans - Participation in debt or equity offerings and M&A transactions - Familiarity with SOX-related disclosure controls and public company compliance frameworks - Track record of improving governance workflows or implementing legal technology solutions - A self-starter mentality with the ability to thrive working under limited direction and an attitude that no job is too challenging or too small. Position location: SF Bay Area (preferred) Travel requirements As a digital first company, the majority of your work can be accomplished remotely. The majority of our employees can live and work anywhere in the U.S or Canada (outside of Quebec) but are expected to spend high quality time in-person collaborating via regular onsites and in-person meetings. The anticipated base salary for this position is expected to be within the below range. Your actual base pay will depend on your geographic location–with our “digital first” philosophy, Upstart uses compensation regions that vary depending on location. Individual pay is also determined by job-related skills, experience, and relevant education or training.
