Vytalize Health
• Act as the primary legal advisor to technology leadership, engineering, product, and data platform teams. • Own end-to-end legal review, negotiation, and execution of technology vendor agreements including SOWs, MSAs, SaaS subscriptions, and professional services contracts. • Build and maintain a lightweight contracting playbook — pre-approved templates, risk-tiered review thresholds, and escalation protocols. • Manage commercial relationships with data platform vendors and enterprise software providers. • Serve as primary legal advisor for technology initiatives on creation, protection, and licensing. • Structure and negotiate data use agreements and clinical data licensing arrangements. • Advise on HIPAA compliance and compliance in AI/ML contexts. • Monitor FDA regulatory positioning for clinical decision support. • Support enterprise AI governance and usage policies. • Responsible for ongoing legal documentation for the Vytal Insights subsidiary. • Provide legal input on capital structure questions as the subsidiary approaches commercialization. • Act as internal legal resource for technology disputes and transaction support.
Job Requirements
- J.D. from an accredited law school and active bar membership in at least one U.S. state.
- Minimum 5 years of progressive legal experience with substantial technology transactions work — vendor contracting, SaaS agreements, data licensing, and IP protection.
- Demonstrated experience with healthcare data governance: HIPAA, BAAs, data use agreements, and de-identification in the context of analytics or AI/ML.
- Experience structuring or advising on IP assignment chains, subsidiary governance documents, or inter-company agreements.
- Ability to move at commercial speed on contract review while maintaining legal rigor — the defining skill for this role.
- Comfortable operating as a solo practitioner within a team: self-directed, low-maintenance, high throughput.

Toast is hiring a mid-level attorney to be the primary point of contact for our Embedded Finance team’s legal needs and to provide transactional and regulatory legal support to the FinTech business line. In this role, you will advise and engage with passionate, enthusiastic business partners to negotiate strategic financial partnerships and help design cutting-edge financial products for restaurants, their teams, and their guests. This role will allow you to apply your fintech subject matter expertise to familiar products while also getting exposure to totally new ones, and you’ll do it all in a fun and collaborative environment that values your insights, creative thinking, intellectual curiosity, and ability to “roll”* with it. This is an independent contributor role and reports to Toast’s Assistant General Counsel, FinTech. A day in the life (Responsibilities) - Draft complex commercial agreements and lead negotiations with financial institutions, payment processors, strategic partners, and merchants in connection with fintech products and services appropriate for restaurants, their staff, and their guests. - Represent Legal on cross-functional teams to help design and implement cutting edge financial products, identify creative solutions to unique use cases and escalated issues, and ensure compliance with financial regulations and other applicable laws, partner contracts, card brand rules, and industry best practices. - Research, analyze, and respond to questions, disputes, and escalations, and advise cross-functional stakeholders on legal and regulatory requirements, risks, and considerations regarding Toast’s suite of fintech solutions. - Draft user terms and agreements (e.g., cardholder agreements, credit agreements, and website terms of service). - Review customer facing materials, including multi-channel advertising, customer enablement tools, and user experience content, for compliance with federal and state laws and best practices, and provide feedback and guidance to Marketing, Design, and Go-to-Market team stakeholders.
