Job Title: Attorney / Lawyer Position Type: Full-Time, Remote Working Hours: U.S. client business hours (with flexibility based on case/project demands) About the Role: Our client is seeking a qualified Attorney to provide legal guidance, draft and review contracts, ensure regulatory compliance, and support litigation or corporate matters. This role requires strong legal judgment, excellent drafting and research skills, and the ability to partner with executives, managers, and outside counsel. Responsibilities: - Contract Work: Draft, redline, and negotiate contracts (NDAs, MSAs, employment agreements, vendor/supplier contracts, leases). - Legal Research & Advisory: Use platforms such as Westlaw or LexisNexis to research statutes, regulations, and case law. Deliver practical recommendations to business leaders. - Corporate Governance: Prepare board resolutions, shareholder agreements, and entity formation or restructuring documents. - Compliance: Monitor and advise on compliance with industry-specific regulations (GDPR, HIPAA, SOX, FTC, employment law, etc.). - Litigation & Disputes: Draft pleadings, discovery responses, and motions. Manage outside counsel, track litigation calendars, and ensure deadlines are met. - Regulatory Filings: Prepare filings with federal, state, or industry agencies as needed. - Documentation & Recordkeeping: Maintain accurate, secure legal records. Ensure contracts and filings are easily retrievable and audit-ready. Ideal Experience & Skills: - Multi-jurisdictional practice or international law exposure. - Prior in-house counsel experience. - Specialized expertise in employment, corporate, SaaS/tech, or real estate law. - Use of legal matter management systems (Clio, MyCase, PracticePanther). What Does a Typical Day Look Like? - An Attorney’s workday is centered on protecting the business legally and enabling it to operate confidently. You will: - Review and draft legal documents to ensure accuracy, enforceability, and alignment with client goals. - Provide counsel and risk assessments by interpreting laws and regulations, explaining implications to leadership, and recommending compliant paths forward. - Manage disputes or litigation by coordinating filings, deadlines, and case strategies with internal teams or external counsel. - Oversee compliance programs by monitoring regulatory changes, updating policies, and ensuring documentation is audit-ready. - Advise leadership during negotiations, expansions, or critical business decisions. - Safeguard records by maintaining organized, confidential files of contracts, agreements, and regulatory documents.
