Commercial Counsel
Medallion
• Draft and negotiate a broad range commercial agreements, including sales, vendor, partner, supplier, marketing, NDAs, and other commercial agreements • Iterate on Medallion’s core customer agreements (MSA, Order Form, SOW) to reflect the market, our customer base, and changes in law or industry practice • Support RFPs; look for opportunities to preempt and address customer questions adeptly and generally smooth the pre-sale process • Optimize and streamline legal review of vendor/supplier contracts • Support the Account Management team in navigating important customer relationships • Advise regarding legal issues, including identifying, managing, and communicating risks and opportunities in commercial transactions • Contribute to the creation of standardized negotiation and contractual term playbooks • Identify and implement improvements in GTM and Deal Desk processes and systems • Identify and assess both business and legal risks, and find creatives ways to mitigate them while aligning with our business objectives • Coordinate with external counsel as needed
Job Requirements
- JD degree and must be admitted to the bar and in good standing to practice law in the state in which you reside
- 6+ years of combined experience practicing at a top-tier law firm and/or in-house at a high growth B2B technology company
- Proficient in structuring, drafting, and negotiating a substantial number of contracts, including master services agreements, partner agreements, supplier agreements, NDAs, and other commercial transactional agreements
- Experience supporting medium size sales organizations selling to an enterprise customer base
- Proven ability to provide entrepreneurial, quick-thinking, pragmatic, business-oriented advice and to properly balance risks and business reward with a dedication to superior stakeholder service
- Ability to foster productive, collaborative relationships with internal and external stakeholders (including customers)
- Ability to distill complex concepts, navigate negotiations with finesse and focus on what’s most important.
- Ability to manage heavy workflow, setting accurate expectations with internal stakeholders and delivering outcomes efficiently and effectively
- Experience with healthcare technology services, and/or with Medallion’s customer base (digital healthcare companies, large provider groups, health plans, hospitals and payers), is a big plus
