This is a full-time role focused on negotiating enterprise software transactions in a fast-paced commercial environment. The Corporate Counsel will work closely with sales and business leaders to support customer and partner transactions. The role requires a practical, business-oriented lawyer who can help drive efficient deal execution while managing legal risk and advising internal stakeholders. Responsibilities: - Draft, review, and negotiate a broad range of commercial agreements, including: - Enterprise software license agreements (including on-premise licensing models) - Cloud services agreements - Reseller, VAR, OEM, and other channel partner agreements - Professional services agreements - Support sales and commercial teams in negotiating customer and partner agreements. - Advise business stakeholders on contract structure, risk allocation, and negotiation strategy. - Manage multiple concurrent negotiations in a high-volume commercial environment. - Collaborate with sales, finance, operations, and product teams to resolve commercial issues and support deal execution. - Assist with commercial disputes and escalations, working with external counsel where appropriate.
