Role Description Scale LLP is seeking an experienced Paralegal with 3+ years of experience to support our growing, national corporate practice and network. This person will bring a process driven approach to servicing Scale’s corporate clients maintaining and organizing company records, and will work with Scale's attorneys to deliver support multiple companies across all aspects of their corporate legal work, including: - Entity initial company formation - Corporate governance - Debt and equity financing transactions - Mergers and acquisitions - Equity administration - Public company reporting - Corporate governance and compliance issues As a Corporate Paralegal at Scale LLP, you will have the chance to be an integral part of a fast growing, tech-enabled modern law firm that’s rethinking the traditional firm model to build a better experience for clients, attorneys, and staff. Day-to-day responsibilities may include: - Facilitate corporate governance and other corporate recordkeeping matters, including preparation of materials for board and committee meetings - Creating and maintaining client Minute books, and handling annual filings with relevant governmental agencies - Coordinate corporate approvals, including drafting resolutions, consents, agreements and similar materials, and distributing for electronic signature via AdobeSign and Dropbox - Maintain client cap tables using equity management tools (including Carta) - Manage stock option grants and other forms of stock-based compensation, including generating grant notices, and assisting with option exercises and stock issuances - Maintain calendar for corporate entity filings and other regulatory filings and requirements - Assist with contract review and coordination with outside counsel, including maintaining and reviewing NDA forms, employment agreements, and other legal templates - Project management responsibilities across initiatives - Creating and maintaining proper access to virtual data rooms on behalf of clients Qualifications - Minimum 3 years paralegal experience in a corporate law setting at a law firm - Paralegal certificate or actively pursuing certification - Proven track record of taking initiative to identify and solve problems, manage projects, make continuous process improvements and work both independently and as a member of a team - Excellent analytical skills with strong attention to detail, demonstrated ability to analyze legal advice and then apply it to business needs - Exceptional interpersonal and communications skills, a commitment to professionalism, integrity and collegiality, and the ability to work on a wide range of legal matters Requirements - Annualized base salary for this position is $72,000 - Entitlement to an annual bonus on the amounts collected by the firm during the calendar year for fees collected by the firm annually on your worked time in excess of the production bonus threshold Benefits - Fully remote firm with ability to live anywhere - Unlimited PTO + 11 Federal Holidays - Parental leave - Choice of health, dental and vision insurance plans - Reimbursement up to a specified amount for remote-work setup Work Environment We’re a remote-first team. Job Requirements

  • Minimum 3 years paralegal experience in a corporate law setting at a law firm
  • Paralegal certificate or actively pursuing certification
  • Proven track record of taking initiative to identify and solve problems, manage projects, make continuous process improvements and work both independently and as a member of a team
