Role Description Midnight Foundation (“Midnight”) is seeking a skilled Corporate Paralegal. The candidate will support an in-house legal team and will be responsible for various administrative activities. Candidates must be highly self-motivated, organised, process-oriented and have strong follow up skills. This position requires someone with a strong background in assisting with corporate governance, corporate transactions, and legal operations. You will work across practice areas within the Legal Team and other support functions to enable the efficient and effective delivery of legal services to our business and partners. You will develop strong relationships with internal constituents and stakeholders including Finance, Business Development, Technology, and Operations. Responsibilities - Draft, review and amend contracts as appropriate (e.g. non-disclosure agreements and event contracts) and other legal documents under the supervision of the Legal Team. - Organise and manage the Legal Team’s templates and help develop and manage playbooks. - Draft corporate documents and support overseeing corporate housekeeping for Midnight’s entities, including assisting with corporate formations, maintenance and management. - Ensure necessary corporate filings are completed accurately and on time. - Maintain contract files and records within Midnight’s contract and document management systems, liaising as appropriate with other internal stakeholders and third parties. - Manage KYC and KYB processes and update the Legal Team’s task management systems. - Assist with due diligence, including reviewing corporate records, contracts, summarising findings, and preparing reports for the Legal team and coordinating with external parties and members of other teams to gather necessary information and ensure alignment and compliance with plans. - Track deadlines and key milestones for various projects, and proactively provide timely updates to relevant parties. - Conduct legal research. - Provide litigation support. - Assist in taking meeting minutes. - Provide regular and proactive status updates to internal stakeholders on contracts, projects, and other legal matters. - Assist with other requests or requirements to meet the business needs. Qualifications - Bachelor’s degree. - 2-3+ years of paralegal or legal secretary experience strongly preferred, including in an in-house or law firm environment. - Highly organised and process-oriented. - Self-motivated and eager to own and execute projects. - Proficient in business applications such as Google Suite, Microsoft Office, DocuSign, Notion, ClickUp, document management systems, contract management systems, and legal enterprise software desired but not all essential. - Experience developing and implementing forms, processes, and policies. - Excellent analytical, problem-solving, and communication skills, including proactive communications and responsiveness. - Discretion in dealing with highly sensitive information. - Able to thrive in a fast-paced environment and successfully manage multiple deadlines while working with limited supervision. - Work well under pressure. - Able to work independently while also being a team player and able to work collaboratively. - Comfortable working with colleagues in various time zones around the world. - Support and handle a variety of ad hoc projects as they arise. Senior Product Owner

Role Description Pogun is building infrastructure that brings programmability to Bitcoin, an asset base that is large, established, and has so far seen limited use beyond settlement. We are hiring a product owner to help us deliver against that opportunity. You will run the engineering operating system across Pogun: backlog, delivery tracking, dependencies, and the cadences that keep a multi-project team moving in the same direction. You will work day to day with the engineering manager and the engineers, serving as the head of product’s line of sight into how delivery is going. Part of the job is keeping a clear, honest read on what the team is shipping and when, and summarizing it at the level leadership needs without dragging them into ticket-level detail. We want someone who takes initiative. The first version of this role will not be fully defined on day one. You should expect to find gaps in process, tooling, reporting, and coordination, and to close them without being asked. What you’ll own - Backlog and Linear hygiene across Pogun projects: Definition of Ready, epic decomposition, dependencies, labels, and stale-issue cleanup. - Delivery tracking with engineering leads: milestones, target dates, slippage flagged early. - Weekly delivery summaries for the head of product and stakeholders: what shipped, what is shipping next, what is at risk. Outcome-level, not ticket-level. - KPI dashboards that tie user stories to shipped outputs. Build them with AI tooling, then maintain them. - Cross-team coordination: outsourced contributors, business development, and product peers. - Process and tooling: workflow conventions, automated-finding sweeps (RUSTSEC, Renovate), PR-review nudges. - Roadmap and GTM input: actively consult on sequencing and feasibility, flag misalignment between marketing and reality. - Operational glue: software license procurement, team event logistics, day-to-day Slack presence. Qualifications - Five or more years in technical product ownership, delivery management, or technical program management. - Demonstrated ownership of an engineering backlog at scale (Linear, Jira, or similar). - A track record of taking initiative: spotting what is missing, proposing a fix, and shipping it without waiting to be told. - Working understanding of GitHub, pull requests, CI/CD, and testing practices. - Enough technical literacy in our stack (Bitcoin, BitVM, Cardano, cross-chain bridging) to triage without round-tripping every detail to engineering. - Strong written communication. Crisp, summary-level reporting is a core deliverable. - Comfort building lightweight dashboards using modern AI-assisted tooling. - Bonus: prior crypto or Web3 engineering exposure, experience with distributed contributors. Requirements - You will have the authority to reject issues that fail the Definition of Ready and to set priority within agreed initiatives. - We hire owners, not note-takers. - Priority order when the week gets busy: delivery tracking and reporting first, backlog discipline second, dashboards and operational glue after that. - Sprint planning never slips for offsite logistics.
