• Advising on transaction structure and legal frameworks for a DIB • Assessing government contracts, MoUs, and PPP arrangements • Designing and reviewing escrow, trustee, and payment mechanisms • Providing guidance on tax, FX, KYC/AML, and regulatory compliance • Ensuring compliance with data protection and safeguarding requirements • Reviewing and contributing to transaction documentation and conditions precedent • Delivering a suite of practical, transaction-focused legal outputs within a compressed timeline (12 working days) • Supporting (if extended) negotiations and drafting of transaction agreements with investors and public-sector stakeholders • Close collaboration with the transaction team and stakeholders, with outputs tailored for a non-legal audience and focused on enabling investment readiness.

• Support the design of an outcomes-based financing instrument: a School Feeding Impact Bond in Rwanda • Produce a Technical Design Report that establishes the outcome measurement framework and baseline methodology for the Bond • Define robust, evidence-based indicators, measurement approaches, and verification requirements to support outcome-based payments • Review programme documentation, engage with key stakeholders, and develop a technically rigorous and independent assessment of proposed outcome indicators, including student nutrition (BMI-for-age), school attendance, and stunting (HAZ) • Assess and refine outcome indicators and proposing alternatives where appropriate • Design attribution methodologies and measurement approaches • Develop detailed technical specifications for each indicator • Recommend outcome targets, thresholds, and payment structures • Ensure alignment with Rwanda’s national data systems and operational context • Identify measurement risks and mitigation strategies

• Contribute to the identification of innovative and relevant financial instruments to enable the successful financing of projects across multiple subsectors and parts of the capital structure • Support financial risk analysis and provide recommendations and potential mitigants • Manage the due diligence process, including the development and review of financial models • Address unexpected challenges to help deliver successful outcomes • Collaborate with colleagues to engage effectively with stakeholders in a variety of contexts and from diverse backgrounds • Adapt communication style and approach when interacting with different stakeholders • Apply knowledge of public and private financial management and /or treasury systems (where relevant) to strengthen the design and delivery of financial solutions.
