Corporate Secretarial Team Lead Hong Kong Monday – Friday, 09:00 – 18:00 Hybrid Intro: To support Business in delivering company secretarial and corporate governance services to a portfolio of US-headquartered multinational clients and their Asia-Pacific subsidiaries, ensuring compliance with local statutory and regulatory requirements. The Team Lead serves as the jurisdictional subject matter expert, ensuring compliance with local statutory and regulatory requirements while providing day-to-day technical leadership, guidance, and oversight to a small team. Some of the things you’ll be doing: - Corporate Governance & Compliance - Prepare and file annual returns, business registrations, and statutory forms with the Companies Registry and other regulatory bodies -Maintain statutory books and records, including registers of members, directors, charges, and secretaries -Monitor compliance deadlines and ensure timely completion of compliance obligations. -Prepare and review board resolutions, minutes, written resolutions and other corporate governance documentation. -Act as the jurisdictional subject matter expert by providing technical guidance on local company law, regulatory requirements, and corporate governance matters. -Support the team in resolving complex technical queries and ensuring consistent application of internal policies and procedures. - Client Management -Serve as a day-to-day contact for assigned clients or Liaise with Global Subsidiary Coordinators (GSCs) on company secretarial matters -Build and maintain strong relationships with clients and internal stakeholders through responsive and professional service delivery. -Coordinate with clients' in-house legal and finance teams/GSC’s on corporate actions and transactions -Support the onboarding of new clients, including company incorporations and KYC/due diligence processes - Corporate Transactions Support -Assist with incorporation and dissolution of companies -Support corporate restructuring, share transfers, changes of directors/officers, and amendments to constitutional documents -Handle registration and updates of charges (register of charges) -Coordinate with external parties (banks, auditors, legal counsel) as needed - Billing & Administration -Assist in preparing payment proposals and engagement letters, if required -Monitor WIP, follow up on outstanding invoices and payment collection -Ensure accurate billing of annual payments, ad-hoc payments, and disbursements - Team Support - Provide day-to-day guidance, technical support, and coaching to a small team of 2-3 Company Secretarial professionals within the jurisdiction. - Review work completed by team members to ensure accuracy, quality and 4 eye review. -Allocate and coordinate work within the team to support timely delivery of client commitments. -Coordinate and leverage the capabilities of the extended India team to optimize resource utilization, promote collaboration, and drive a 'One Team' operating model. -Identify process improvement opportunities and contribute to the enhancement of local procedures and service delivery.
