Role Description We are hiring a Manager, Corporate Development to operate at the intersection of M&A execution and core operating finance. The right person owns transaction modeling and diligence when deals are active and moves fluidly into recurring FP&A, reporting, and strategic analysis between deal cycles - equally comfortable building an LBO, M&A DD and supporting the monthly reporting package. You will apply transaction-grade rigor to both acquisitions and the decisions that drive organic growth. Direct experience in a B2B SaaS or recurring-revenue business is essential. Key Responsibilities - Dual mandate – Move fluidly between deal execution and recurring operating-finance work, supporting both M&A workstreams and core FP&A deliverables as priorities shift through the year. - Transaction & capital structure modeling – Build and own valuation models, develop pro forma combined-entity P&L, balance sheet, and cash flow projections with QoE bridging; and model financing scenarios under various deal cases. - Financial diligence – Manage diligence workstreams; normalize EBITDA, separate one-time from recurring items, analyze working capital, validate management adjustments, and synthesize findings into actionable insights. - Post-transaction value capture – Track integration performance against plan, partnering with the FP&A team to monitor and report on results. - Lender & stakeholder reporting – Prepare and deliver monthly and quarterly reporting to lenders, including financial statements, covenant compliance calculations, and supporting schedules. - Monthly reporting & cash forecasting – Contribute to the monthly financial reporting package. - Planning & capital allocation – Partner with Sr Manager, FP&A and leadership on long-range planning, capital allocation, and the evaluation of organic growth investments, applying the same return-driven rigor used in transactions to internal initiatives. Qualifications - 4–7 years in private equity, investment banking, transaction services, or corporate development at a PE-backed company. - Demonstrated experience with complex transaction modeling and financial diligence. - Advanced Excel modeling: three-statement, LBO, accretion/dilution, sources & uses. - Direct experience in a B2B SaaS or recurring-revenue business, with command of its growth drivers and unit economics. - Comfortable owning recurring operating-finance deliverables — monthly reporting, cash forecasting, and lender/covenant reporting — not only live deal work. - Thrives in a role with variable intensity; energized by deep analytical and operating-finance work between deals, not only by live transactions. - Self-starting mindset, with natural curiosity to identify areas for improvement and the drive to act on them. - Strong grasp of GAAP, adjusted EBITDA methodology, and quality-of-earnings concepts. - Excellent written communication; able to translate analysis into executive-ready materials. - Willingness to work overlapping US Eastern hours during active transaction phases. Preferred Qualifications - Prior experience supporting US-based sponsors or sponsor-backed corporates. - Experience with lender and covenant reporting in a leveraged or sponsor-backed environment. - CFA.
