• Implement a comprehensive ethics and compliance strategy that aligns with the company's business objectives and values • Lead the company's conflict of interest program and provide legal advice to key stakeholders on ethical inquiries • Serve as day‑to‑day ethics advisor on compliance policies and procedures • Manage the Ethics Help Line and Ethics Office mailbox • Prepare, coordinate, and conduct training and communications on ethics‑related topics • Manage outside counsel on discrete matters as may be required

• Act as a trusted legal advisor to the ELT • Lead global corporate governance matters, including board and committee support, subsidiary management, policies, and compliance with corporate obligations • Shape and execute the global legal strategy in alignment with JAGGAER’s business objectives and risk appetite • Oversee negotiation and execution of complex, high-value enterprise customer agreements, technology and channel partner contracts, and vendor arrangements • Provide legal guidance on SaaS, software licensing, cloud services, SLAs, pricing models, intellectual property, artificial intelligence and data usage • Support global Sales, Procurement, RFx and Partner teams with scalable contracting frameworks and risk-balanced deal structures • Lead global compliance programs, including data protection (e.g., GDPR and other privacy regimes), anti-corruption, export controls and sanctions, and competition law • Partner closely with Security, Product, and Engineering teams on privacy-by-design, information security and regulatory requirements • Identify, assess, and mitigate legal and regulatory risks for global business • Advise on corporate structure, subsidiaries, intercompany agreements, and global operations • Lead legal aspects of mergers, acquisitions, divestitures, investments, and strategic partnerships • Manage relationships with external counsel and advisors worldwide • Provide legal guidance on global employment law, executive compensation, and equity programs • Support senior leadership on sensitive employee relations and workforce matters • Oversee litigation, arbitration, regulatory inquiries, and dispute resolution strategies • Manage claims, investigations, and settlement negotiations • Lead and develop a high-performing, globally distributed legal team • Establish efficient global legal processes, playbooks, and contract standards • Manage the legal budget and optimize use of external counsel

Ensure compliance by verifying documentation accuracy and enforcing sales practice standards with diplomacy and professionalism. Develop and maintain procedures for principal review, signature guarantee programs, and product rate communications. Collaborate with strategic partners to manage product updates, annuity rate sheets, and internal communications. Review and test standard operating procedures to ensure compliance with evolving regulations. Maintain deep product knowledge by analyzing materials from broker-dealer vendors and partners. Support projects involving new product implementation, operations enhancements, and compliance process improvements. Monitor and manage signature medallion stamp processes, ensuring training and accountability across representatives. Education & Experience Required Bachelor’s degree or equivalent experience. 3+ years of financial services experience. Active FINRA Series 7 and (66 or 63) licenses Preferred Bachelor’s degree in Finance, Economics, or Accounting. 5+ years of financial services experience, with brokerage or supervisory background. Series 24 or 26, 53 and/or Series 4 licenses (within 6 months of hire).
