• Internal AI Product Manager: Lead the design, development, and deployment of AI agents to automate repetitive investment workflows. Identify opportunities where AI can save the team meaningful time and improve decision quality. Train and upskill the broader team on effective AI tool usage and workflows. Develop a long-term AI productivity roadmap for the fund. • Deal Sourcing and Screening: Proactively identify and assess potential investment opportunities by conducting market research and maintaining a strong network within the startup ecosystem. • Due Diligence: Conduct thorough due diligence on potential investment targets, including technology and financial analysis, market research, and risk assessment. Collaborate with cross-functional teams to assess the strategic fit and potential impact of investments on Toyota's long-term goals. • Financial Modeling & Analysis: Develop and maintain complex financial models to analyze the financial viability and potential returns of investment opportunities. Assist in the preparation of investment memos and presentations for internal stakeholders. • Portfolio Management: Actively engage with portfolio companies to monitor performance, provide strategic guidance, and assess opportunities for value creation. Assist in managing relationships with key stakeholders and support the Woven Capital team members in their portfolio company board roles. • Industry Research and Trend Analysis: Stay informed about industry trends, emerging technologies, and market dynamics relevant to Woven Capital's investment focus. Contribute to the development of thought leadership content and market insights.

• Report directly to the COO, act as a strategic thought partner for the full leadership team. • Assume responsibility for several functions that are currently heavily outsourced to external counsel, including support of the investment process, negotiation of commercial agreements, corporate governance, compliance, and risk management, while overseeing and managing outside counsel relationships. • Lead negotiation of commercial agreements that accompany or follow investments. • Advise internal stakeholders on risk, enforceability, and global contracting standards. • Develop scalable templates and playbooks to streamline repeat transactions. • Lead all legal aspects of venture investments, including legal due diligence, term sheets, equity financing documents, shareholder agreements, side letters, and investor rights agreements. • Structure transactions to align financial returns with strategic objectives. • Partner with investment professionals on valuation, risk allocation, governance rights, and exit strategy. • Manage and coordinate external counsel efficiently and cost-effectively. • Provide guidance on governance, board matters, follow-on financings, and liquidity events. • Support M&A, secondary transactions, and exit processes. • Help team navigate legal questions regarding portfolio companies with Toyota & its affiliates. • Oversee corporate policies, support in board matters, and internal approvals. • Manage NDAs, vendor agreements, contractor agreements, and employment-related matters (hiring, terminations, and employee documentation), in conjunction with the Woven by Toyota HR team. • Advise on privacy and data security compliance (e.g., GDPR, CCPA, and other applicable regimes). • Provide oversight on IP matters. • Advise on litigation exposure, product liability, commercial disputes, insurance, and risk mitigation.
