• Legal support for the holding company and all subsidiaries • Development and maintenance of group legal governance • Drafting and implementing policies (contracts, compliance, claims, IP, etc.) • Support on shareholder, advisory board and management matters • Legal support for acquisitions (buy-side) • Coordination of external law firms • Support during due diligence (legal, commercial, IP, compliance) • Review and negotiation of SPA, SHA and ancillary agreements • Post-merger integration • Harmonization of contracts • Structuring of intercompany relationships • Legal integration roadmap • Review, drafting and negotiation of a wide range of commercial agreements, including customer and supplier contracts, distribution and dealer agreements, service, rental, leasing and license agreements • Support for internationalization (EU, UK, USA, APAC) • Trusted sparring partner for sales, operations and product management • Build a pragmatic compliance framework • Develop and review the Code of Conduct • Management of insurance and liability matters • Claims and dispute management (including coordination of external counsel) • Legal support for HR matters at group level (employment and executive contracts)
