Job Summary *Hybrid-Incumbent must work a minimum of three day per week in the office at one of the office locations listed on the posting. We are seeking a Corporate Closing Specialist to contribute to a team environment by coordinating and facilitating the loan closing process, timeline, and legal documentation for lending relationships originated by the Association’s Corporate Business Development Teams. Including complex lending structures and broadly syndicated commercial and real estate transactions. Effectively manage the closing timeline to ensure the Associations exceed established service standards. This position will have direct external customer contact and must have a working knowledge of the key documentation elements and legal structures of these complex lending relationships. In coordination with other teams, ensure the repayment and collectability of Association assets through the correct development, review and implementation of credit agreements, lending agreements, mortgage filings, UCC filings, and other lending and collateral documents. Manage the title policy process to ensure exceptions are addressed, and appropriate endorsements are obtained, including monitoring of construction loans. Coordinate with internal teams and the loan accounting team to ensure accuracy of the booking sheet. Essential Duties & Responsibilities - Lead loan closing function for assigned loans, which includes all non-credit issues from the point of loan approval through loan closing including preparation of legal documentation for originated loans ensuring all legal, credit, collateral, and regulatory requirements are included in the documentation. This will include a wide variety of complex real estate and commercial documents and contracts, leases, assignments, easement agreements, title reports, appraisals, surveys, mortgage loan documentation and filings, UCC filings, entity formation documentation, partnership agreements and other real estate transaction documentation. Ensure all security documents are provided to Collateral Analysts for perfection. - Portfolio consists of multi-state, multi-entity, loans. Closing Specialist will work with Association’s loan customers that may have loan exposures between $10MM and $100MM. This process requires ownership of the closing process including close coordination and communication with the primary industry team (Relationship Manager/Lender, Account Management, and Credit Analyst) as well as in-house Legal Counsel, and outside vendors. - Coordinate with loan accounting teams to ensure timely and accurate booking of loans within the appropriate accounting systems - Manage title company process including reviewing, analyzing title documents and encumbrances, surveys and parcel maps, leases, and purchase agreements. Communicate with the borrower to see that all title requirements are met at closing. Collateral may involve real estate in multiple counties and states. - Certification of all required documents establishing the power, authority, and existence of all obligors, guarantors, etc. is obtained and is retained appropriately in company records. - Coordinate the post-closing legal review of all transactions meeting the criteria for independent review by an attorney on the legal team. Coordinate any curative actions required by the independent legal review. - Review, monitor and track construction loan progress ensuring inspections are tracked and completed, copies of all applicable documents (i.e. contracts, permits, plans, specs, maps, etc.) are obtained and approved construction costs are not exceeded. This may involve working with title companies for date down endorsements. Education Requirements - Bachelor's degree in Business, Business Law, a Paralegal program or related degree; equivalent related experience and/or specialized training will be considered. Years of Experience - 4+ years of experience, Commercial real estate lending environment in a financial institution, loan closing and documentation function in a law firm, and/or experience in a title company closing commercial real estate loans. - All hires must have the ability to complete Loan Closing Certification as provided by internal legal team within 12 months of starting in this role.
