Director – Corporate Development
Ulteig
• Identify new target opportunities that are in support of Ulteig’s Strategy. • Engagement and oversight as a trusted advisor to the leadership team to help build and foster relationships and close strategic acquisitions. • Work with Executive Leadership and other Ulteig leaders to understand and develop strategic direction on acquisition priorities • Develop a pipeline process leveraging strategic business unit priorities • Lead and drive deal sourcing including proactive target identification, screening and analysis and providing updates to the senior leadership • Engage, develop, and manage external relationships to support early insight into relevant opportunities • Support acquisition valuation, and pre-closing processes including the provision of comprehensive financial and strategic rationale to senior leaders; manage the deal execution process in alignment with the CSO and the CFO • Lead a cross functional team for due diligence and transaction processes with the goal of a seamless execution • Support determination of deal structure and deal negotiations • Support the deal communications process (i.e., Board presentation preparation, Executive Leadership and broader ULT updates, organizational communications) in alignment with the CSO, CFO, Executive Leadership, and corporate communications • Support integration process by working with the identified Integration Leader to ensure appropriate focus on and commitment to the acquisition integration; ensure proper training on the corporate integration process • Develop and implement processes and performance measures around M&A • Create and refine detailed and dynamic DCF models to distill a clear and concise investment conclusion • Lead the sourcing and execution of corporate finance initiatives across the capital structure.
Job Requirements
- Bachelor’s Degree in Finance, Accounting, Engineering, or related fields
- At least 12 years of experience in all aspects of M&A, including sourcing, financial modeling, due diligence, closing, Day 1, Day 2 and post-merger integrations.
- Prior experience in investment banking, private equity, and/or management consulting
- Demonstrated experience in pipeline development, including upstream opportunity identification and signal tracking for M&A or strategic growth initiatives
- Cross-functional leadership skills and ability to establish and foster effective professional relationships, internally and externally
- Excellent internal and external communication skills; ability to effectively articulate messages, to be persuasive, and explain position to target audiences who may possess varying levels of technical knowledge
- Proficiency with accounting fundamentals and financial analysis
- Strong DCF model building skills
- Ability to define problems, collect data, establish facts, and draw valid conclusions
- Business and financial acumen, combined with analytical thinking, resulting in the ability to manage the company‘s opportunities, risk, profitability, volume, etc.
- Strategic and innovative thinker who can envision the future and lead and manage change efforts when necessary.
- Adaptable and flexible to a changing environment.
- Proven ability to effectively manage diverse teams (including functional teams, project teams, etc.) to achieve results, despite multiple and changing priorities.
- Strong problem-solving, negotiation, conflict-management, public speaking and presentation skills
- Organized and detail oriented with the ability to adapt to a changing environment
- Must have the ability to travel up to 50%
- Must have authorization to work permanently in the U.S.
