We are looking for a seasoned, practical Sales-focused Contracts Manager/Negotiator to join the Commercial Legal Team, working primarily with our sales teams, members of the legal and other departments within RingCentral, as well as outside partners and attorneys to draft, review, negotiate and manage sales contracts with RingCentral’s Up Market customers in North America. This position can be based in our Belmont, CA, Dallas, TX or Denver, CO offices, and will report directly to our Director, Legal, Upmarket Commercial. We may also elect to consider remote based employees. Duties and Responsibilities: - Work with the Legal, Sales, Professional Services, Support, Deals Desk, Customer Success, and Finance teams to close customer transactions in our Majors and Enterprise segments. - Interpret clauses, negotiate redlines, and draft potential sales and professional services agreements and amendments. - Build productive relationships and processes with Legal, Finance, Sales, Sales Operations, Support, Professional Services, and Product teams to drive efficiencies. - Become a subject matter expert to train the Deal Desk and Sales teams on contract provisions and handling of customer requests. - Proficient and efficient contract negotiating and drafting skills. - Partner with the Sales, Support, Professional Services, and Customer Success teams to ensure negotiations result in optimal terms and a timely conclusion. - Create, update and maintain contracting processes, templates, playbooks, and SOPs in collaboration with other Commercial Legal team members. - Escalate complex legal issues or non-standard positions to Director, Legal, Upmarket Commercial as appropriate, with a clear summary of key issues and recommended paths forward. - Support process improvement initiatives to streamline contracting workflows, reduce cycle time, and enhance the use of contract lifecycle management (CLM) and AI tools. - Ensure all executed agreements are accurately stored and tracked within contract management systems. - Stay current on legal and regulatory developments relevant to SaaS, cloud communications, data privacy, AI, telecommunication industry, and enterprise software licensing. - Willingly assist Legal Department colleagues with their projects and activities to contribute to a collegial atmosphere and to balance workloads. - Work on Customer and Vendor legal disputes, under supervision of Director, Legal, Upmarket Commercial. - Work on marketing and promotional initiatives, under supervision of Director, Legal, Upmarket Commercial. Required Skills and Experience: - At least five years of combined experience in-house and/or with a national law firm; in-house experience working extensively with a variety of contracts required, preferably in SaaS, cloud communications or a related industry. - Experience managing the expectations of aggressive direct and channel sales teams in a fast-paced environment. - Demonstrated ability to understand legal, risk and business impacts to contract language. - Strong written and oral communications and negotiation skills, comfortable communicating to peers and management. - Demonstrated time management skills, ability to successfully multitask and prioritize. - Proven ability to independently manage a high-volume contract pipeline while maintaining flexibility, accuracy and attention to detail. - Experience with issues related to Data Privacy laws (including GDPR, CCPA, and HIPAA),including negotiating DPAs and BAAs. - Experience with Contract Lifecycle Management programs and proficiency in using such systems to manage deals.
